General Terms and Conditions

1. An advertising order in the sense of the following general terms and conditions is the contract for the publication of one or more advertisements, inserts, and other advertising representations of an advertiser in a print product.

2. Deviations from these general terms and conditions are only valid if confirmed in writing by the publisher. Only the publisher is authorized to conclude advertising orders and make declarations within the framework of such a contract. The representatives and advertising agents of the publisher have no power of representation. If these general terms and conditions conflict with other general terms and conditions, these shall take precedence in any case.

3. A customer's order is binding when it reaches a representative or agent of the publisher or the publisher itself. The customer is bound to this order. Unless otherwise agreed, advertisements must be placed within one year of the contract conclusion. If it involves multiple advertisements, they must be placed within one year after the publication of the first advertisement.

4. If an order is not fulfilled due to circumstances for which the publisher is not responsible, a chargeback of the discount granted for advertisements already published will occur.

5. No guarantee is given for the inclusion of advertisements in specific issues or at specific places in the print publication unless the client has expressly made the validity of the order dependent on this and written confirmation from the publisher is available.

6. Advertisements or other advertising representations that are not immediately recognizable as advertisements due to their design—especially editorial layout—can be marked as such by the publisher.

7. The publisher reserves the right to reject advertising orders—including individual calls within the framework of a conclusion—due to content, origin, or technical form according to uniform principles. The publisher is not obligated to check the advertisement, especially for the admissibility of the content. The client must indemnify the publisher from all claims of third parties based on or derived from this and is liable for any damages incurred, including any lost profits.

8. Cancellation of advertisements can be made in writing to the publisher up to 14 days before the respective advertising deadline (advertising deadlines see media data page 2)—the cancellation is only effective upon timely receipt of the declaration by the publisher. In the event of an effective cancellation, the publisher reserves the right to charge the customer a flat-rate expense allowance of 15 percent of the current advertisement price. If the customer does not properly terminate an order, the order remains fully valid. If a print-ready print template is not provided within the specified time (= print deadline), the publisher is entitled to publish an old print template or neutral text. The advertisement invoice must be paid in full by the client.

9. Insert orders are only binding for the publisher after submission of a sample of the insert and its processability. Firmly bound inserts that, due to format and design, could give the reader the impression of being part of the magazine or contain external advertisements can be rejected.

10. The client is responsible for the timely delivery of the advertisement text and flawless print materials or inserts. For recognizably unsuitable or damaged print materials, the publisher will immediately request a replacement. Insofar as additional costs arise for the publisher due to circumstances within the client's responsibility, these must be reimbursed by the client. In the case of recognizably unsuitable or damaged print materials or at the client's special request, the publisher is entitled to create or have created these print materials at the client's expense. In such a case, all rights to such print materials belong to the publisher. However, the client has the right to publication in the publisher's print publications.

11. The client has the right to a price reduction or a replacement advertisement in the event of a wholly or partially illegible, incorrect, or incomplete printing of the advertisement or advertising representation, but only to the extent that the purpose of the advertisement was impaired. Any further liability of the publisher is excluded. Complaints must be made within four weeks after receipt of the invoice and proof. The publisher assumes no liability for errors from telephone transmissions of any kind.

12. Proofs are only provided upon explicit request. The client is responsible for the correctness of the returned proofs. If the client does not return the proof sent to him immediately, approval for printing is deemed granted.

13. The publisher provides a proof of the proper appearance of the advertisement with the invoice. The invoice must be paid to the publisher net within 8 days of the invoice date. For advance payment by the first sale date, the publisher grants a 2 percent discount. The publisher is entitled to demand advance payment and to refuse the printing of the advertisement or other advertising design until receipt. Discount amounts claimed after the publication date are refundable.

14. Technical changes to the print publication, e.g., format, are at the publisher's discretion. Regarding the pricing conditions, the publisher's valid price list applies. Price changes apply from the day the new price list comes into effect, even for ongoing contracts. In the event of a price increase, the advertiser has the right to decide on the continuation of the order. All stated prices are net prices and do not include statutory VAT.

15. If there are justified doubts about the client's ability to pay, the publisher is entitled, even during the term of an advertising contract, to make the publication of further advertisements dependent on advance payment of the amount and settlement of outstanding invoice amounts, regardless of an originally agreed payment term. The publisher is thus not obliged to fulfill the orders booked in advance. In the event of payment arrears, interest of 10 percent and a processing fee of 5 percent on the invoice amount, but at least Euro 25,- plus any other collection costs, will be charged.

16. The place of performance and jurisdiction is Regensburg in any case for both parties. The law of the Federal Republic of Germany applies.

17. Advertising agents and advertising agencies are obliged to adhere to the publisher's price list in their offers, contracts, and settlements with advertisers. The brokerage fee granted by the publisher may not be passed on to clients, either in whole or in part.

18. The publisher reserves the right to postpone the publication date if necessary.

19. The obligation to retain print materials ends three months after the publication of the respective advertisement.

20. The publisher expressly assumes no liability for the shipment of print materials or slides.

21. Outside of warranty claims, the publisher is liable, e.g., for delays, for its own fault, but not for the fault of third parties used by the publisher—e.g., printing company—to fulfill the order. In no case does the publisher have an obligation to compensate for consequential damages, but at most for the immediate fulfillment interest. In the event of operational disruptions or other circumstances for which the publisher is not responsible, e.g., strikes, seizures, etc., the publisher is entitled to payment for the published advertisements according to the delivered circulation.

22. In the event of delays or other postponements that are within the client's area of responsibility, any additional costs incurred as a result will be charged. Furthermore, the deadline overrun can influence placement and print reproduction. In such a case, it is at the publisher's discretion to include the advertisement or other advertising design or insert in a later issue of the print publication.

23. Claims for damages due to impossibility of performance and delay are limited to the foreseeable damage up to the amount to be paid for the respective insert or advertisement. The publisher's liability for damages due to warranted characteristics remains unaffected.
